Governing law: England and Wales
This Agreement governs use of the Julia Business OS software itself. It sits beneath the Momentum Master Platform Terms, which govern the commercial relationship. Where this Agreement and the Master Terms conflict, the Master Terms prevail. Julia-specific desktop and orchestration provisions are set out in the Julia Business OS Desktop & Orchestration Terms; where those provisions address a matter in more detail, they apply to that matter.
Subject to continued compliance with this Agreement and payment of applicable Fees, Momentum Digital Labs Ltd grants Customer a non-exclusive, non-transferable, non-sublicensable, revocable licence to use Julia Business OS for Customer's own internal business purposes for the duration of the subscription.
This is a right of use, not a transfer of ownership. Nothing in this Agreement transfers title in the software, and no rights are granted by implication or estoppel.
Customer shall not, and shall not permit any third party to:
All intellectual property rights in Julia Business OS — including its source code, architecture, orchestration logic, model routing, sector configuration packs, interfaces, documentation and any improvement or derivative — belong to Momentum Digital Labs Ltd or its licensors.
Customer retains all rights in Customer's own data. Where Customer provides feedback, Momentum may use it without obligation or attribution; feedback does not transfer any right in Customer's data.
The software incorporates or interoperates with third-party and open-source components, each governed by its own licence. See the Third-Party Notices. Where an open-source licence grants Customer rights that exceed this Agreement, that licence controls for that component.
To the fullest extent permitted by law, the software is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement.
Momentum does not warrant that the software will be uninterrupted or error-free, that defects will be corrected, or that any AI-generated output will be accurate, complete or suitable for a particular purpose. Output requires human review before it is relied upon.
Nothing in this section excludes or limits any warranty or right that cannot lawfully be excluded, including the statutory rights of a consumer.
Momentum's liability under this Agreement is subject to, and forms part of, the single aggregate liability cap set out in the Master Platform Terms. Multiple documents, claims or causes of action do not multiply that cap.
Nothing excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.
Momentum may update, modify, add to or remove features of the software, and may change the underlying models, providers or infrastructure used to deliver it. Momentum will give reasonable notice of any change that materially and adversely affects a feature Customer actively relies on.
Momentum is under no obligation to maintain any particular feature, integration or third-party connection indefinitely.
This Agreement runs for as long as Customer holds a valid subscription. It terminates automatically on termination of the subscription, and may be terminated by Momentum with immediate effect on breach of this Agreement or of the Acceptable Use Policy.
On termination Customer must cease all use of the software. Data retention and export following termination are governed by the Master Platform Terms — in summary, service continues to the end of the paid period, data is retained for ninety days, and export remains available throughout.
Sections 2, 3, 5, 6 and this section survive termination.
This Agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save where mandatory local law provides otherwise.
