Where Julia Business OS Founder pricing is granted, the Founder price remains available for the commercial lifetime of Julia Business OS as operated by Momentum Digital Labs Ltd, provided the qualifying subscription remains continuously active and in good standing.
“Lifetime” does not mean the lifetime of any individual person. It means the commercial lifetime of Julia Business OS while the service continues to be offered by Momentum Digital Labs Ltd.
Subject to liabilities that cannot lawfully be excluded or limited, Momentum’s total aggregate liability across the entire contractual relationship shall not exceed the greater of:
This is a single aggregate cap across all applicable Momentum terms, Julia EULA terms, Orders and related Services. Multiple documents, claims or causes of action do not multiply the cap.
This publication is part of the Momentum legal package. Full operative clauses are incorporated through the complete Master Platform Terms, service-specific terms, Data Processing Addendum, AI Usage Policy, Acceptable Use Policy, Privacy Policy and applicable third-party/open-source notices.
Except where applicable law requires otherwise, subscription Fees already charged for a completed or commenced billing period are non-refundable. Cancellation normally prevents future renewal and does not retrospectively cancel Services already supplied or made available.
Momentum may, at its sole discretion, issue a full or partial refund, account credit, service extension or other goodwill remedy where Momentum considers this commercially appropriate. Any voluntary remedy does not create a continuing entitlement, precedent or obligation to provide the same remedy in another case.
Where Momentum approves a partial refund, it may calculate that refund on a reasonable pro-rata basis having regard to the unused Service period, actual usage, provisioning already performed, third-party costs incurred, credits consumed, transaction costs and other relevant circumstances, subject always to rights that cannot lawfully be excluded or restricted.
The Setup & Activation Fee covers actual provisioning and activation work including tenant creation, orchestration initialization, configuration, workflow and role setup, security baseline work and authorised system or provider connections.
A purchase, download, login, invitation, PWA link opening or application launch alone does not constitute commencement of provisioning. Once actual provisioning, configuration or activation work has commenced and that event has been recorded, the Setup & Activation Fee becomes non-refundable, except to the extent applicable law requires otherwise.

Commercial lifetime refers to the period during which Julia Business OS continues to be commercially operated by Momentum Digital Labs Ltd. It does not mean the lifetime of any individual and does not require Momentum to operate the Service indefinitely.
Julia Business OS may use artificial intelligence, automation and third-party systems. Outputs may be inaccurate, incomplete, outdated, misleading or unsuitable. The Customer remains responsible for reviewing material outputs and for decisions and actions taken using them.
Julia is not the Customer's accountant, lawyer, tax adviser, medical professional or other regulated professional adviser. Where professional judgment or regulated advice is required, appropriately qualified human review must be obtained.
Third-party services, AI providers, APIs, open-source components and Customer-supplied provider accounts remain subject to their own terms, availability, pricing and technical limitations. Momentum does not guarantee the uninterrupted operation of an independent third-party service.
Nothing in these Terms excludes, restricts or overrides any statutory consumer right, refund right, remedy, liability or other protection that cannot lawfully be excluded or limited. Where a mandatory rule conflicts with these Terms, that mandatory rule applies only to the extent required.
The Setup & Activation Fee is consideration for real provisioning, configuration and activation work.
Payment alone does not constitute Provisioning Commencement. Downloading Julia, logging in, opening the Desktop, entering Demo Mode, opening a PWA or accepting legal documents does not constitute Provisioning Commencement.
Provisioning Commencement occurs when the customer has completed the required Activation Intake, selects Start my setup, and Momentum begins recorded real provisioning, configuration or activation work.
The Setup & Activation Fee is refundable before Provisioning Commencement and non-refundable from recorded commencement of real work, except where applicable law requires otherwise.
Customer will indemnify and hold Momentum harmless against third-party claims, losses, liabilities and reasonable costs arising from Customer's breach of these Terms, Customer's data, Customer's unlawful use of the Services, or Customer's violation of applicable law, except to the extent caused by Momentum's own breach of these Terms.
Neither party is liable for delay or failure to perform an obligation (other than a payment obligation) to the extent caused by events beyond that party's reasonable control, including but not limited to internet or infrastructure outages at a third-party provider, natural disaster, war, governmental action, or widespread service disruption at a subprocessor.
If any provision of these Terms is held unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms, together with the Julia EULA, Data Processing Addendum, AI Usage Policy, Acceptable Use Policy, Privacy Policy, Service Level Targets and any applicable Order, constitute the entire agreement between the parties regarding the Services and supersede prior discussions or agreements on the same subject matter, except as expressly stated otherwise in a signed Order.
